Terms of Service

These Terms of Service ("Terms") govern your access to and use of this website (the "Site") operated by TOPTEK ("TOPTEK," "we," "us," or "our"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.

1. Who We Are

TOPTEK is a precision manufacturer specializing in architectural hardware, commercial locks, and integrated access control locking solutions. This Site provides company information, product and solution overviews, and ways to contact us.

2. Use of the Site

You may use the Site only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Site in any way that violates any applicable law or regulation.
  • Attempt to gain unauthorized access to the Site, servers, or related systems.

Nothing on the Site constitutes a binding offer, quotation, or guarantee unless expressly stated in a written agreement signed by TOPTEK.

4. Quotes, Orders, and OEM/ODM Projects

Requests submitted via the Site (including inquiry forms, email links, or other contact methods) do not create a contract. Any commercial terms--such as pricing, lead time, minimum order quantity, customization scope, tooling, samples, testing, certifications, payment terms, shipping terms, warranty terms, and acceptance criteria--must be confirmed in writing by TOPTEK.

For customized or OEM/ODM projects, you are responsible for ensuring that any specifications, drawings, and requirements you provide are accurate and complete. Additional terms may apply and will be documented in separate project documents or agreements.

5. Intellectual Property

The Site and its content (including text, images, graphics, logos, icons, layouts, and other materials) are owned by or licensed to TOPTEK and are protected by applicable intellectual property laws. You may view, download, and print content solely for your internal business evaluation and non-commercial use, provided you keep all proprietary notices intact.

You may not reproduce, distribute, modify, create derivative works of, publicly display, or commercially exploit any Site content without our prior written consent.

TOPTEK, related names, and marks are trademarks of TOPTEK or its licensors. All other trademarks referenced on the Site are the property of their respective owners.

6. Technical Documents and Compliance Statements

Any references to standards (including ANSI/BHMA, EN, AS, UL, CE, ISO) are provided for informational purposes. Certification status and scope may vary by product model, configuration, manufacturing batch, or intended market. If you require certification documents or test reports, contact us to confirm applicability to your specific product configuration and project requirements.

Unless stated otherwise in a written agreement, you are responsible for verifying that products are suitable for your intended application and comply with local laws, building codes, and project specifications.

7. User Submissions and Feedback

If you submit inquiries, feedback, drawings, specifications, samples, or other materials ("Submissions") to TOPTEK through the Site or related contact channels:

  • You represent that you have the rights and permissions needed to share the Submissions.
  • You agree not to submit unlawful, infringing, or confidential third-party information unless you are authorized to do so.
  • We may use non-confidential Submissions to respond to you, improve our products/services, and for internal evaluation.

Confidentiality obligations, if any, must be set out in a separate written agreement (such as an NDA) signed by both parties.

The Site may contain links to third-party websites or resources. We provide these links for convenience and do not control or endorse those websites. We are not responsible for the content, policies, or practices of third parties. Your use of third-party websites is at your own risk.

9. Disclaimer of Warranties

THE SITE AND ALL CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, TOPTEK DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND AVAILABILITY. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL TOPTEK OR ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TOPTEK'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SITE WILL NOT EXCEED USD $100 (OR THE EQUIVALENT AMOUNT IN YOUR LOCAL CURRENCY).

11. Indemnification

You agree to defend, indemnify, and hold harmless TOPTEK and its affiliates, directors, employees, and agents from and against any claims, liabilities, damages, judgments, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Site; (b) your violation of these Terms; or (c) your infringement of any intellectual property or other rights of any person or entity.

You represent that you are not located in, under the control of, or a national or resident of any country or region subject to comprehensive sanctions, and you are not on any restricted party list, to the extent applicable.

We may update or modify the Site or these Terms at any time. Changes are effective when posted on this page unless otherwise stated. Your continued use of the Site after changes are posted constitutes acceptance of the updated Terms.

15. Termination

Sections that by their nature should survive termination will survive, including Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Indemnification, and Governing Law.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the People's Republic of China, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Site will be submitted to a competent court located in Guangdong Province, China, unless otherwise required by mandatory local law.

18. Miscellaneous

  • Severability: If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.

  • Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
